Services Provided:

Technical Consultancy & Management

The services will also include any other tasks that both parties agree on and ATM Services Group hereby agrees to provide such services to the Client in line with their Terms & Conditions and Payment Terms.

Contract Terms:

Any work or services that are provided by any employee or director of ATM Services Group will be treated as work or services carried out by ATM Services Group. If any invoice that has been issued by any Director of ATM Services Group on a consultancy basis is still classed as work/services by ATM Services Group. All payments will be made to ATM Services Group and all payment terms and conditions will be bound by the "Terms & Conditions" listed below.

All services must be agreed via a completed contract or for an existing Client can be authorised in writing via an existing pricing structure or quotation.

Any services or work completed by ATM Services Group is guaranteed only by a contractual agreement. If there is no contractual agreement, then no service guarantee will be provided.

All services are provided to the agreed criteria. The Client cannot change the agreed criteria on an existing work process. Only after that process has been completed can a change of work criteria be agreed.

ATM Services Group holds the right to withdraw part or all services if we feel that these services are not in the interests of our acceptable standards or working conditions. ATM Services Group can withdraw all services if they do not want to work with any additional project partners or sub-contractors that we feel do not provide the same standard of work or professional services that we feel is acceptable.

If any services or work is delayed by outside agents or partners that have been chosen or hired by the Client, then no reduction or changes in price will be offered or be accepted by ATM Services Group. The agreed costs will be invoiced and expected to be paid. 

If the timescale for any agreed services or work has been delayed by the Client or any agent or partners that have been chosen or hired by the Client, then ATM Services Group has the right to end all work and services by the existing agreed date whether all services or work has been completed or not. We reserve the right to not extend any project time frames if they are outside our control. Any loss to the Client are not the responsibility of ATM Services Group.

Ownership of Intellectual Property

a) All intellectual property and related material (the "intellectual property") that is developed or produced under and contract or service that has been agreed by ATM Services Group will be the property and remain the property of ATM Services Group. The Client is granted a non-exclusive limited use license of this intellectual property if all outstanding fees and invoices have been paid in full. ATM Services Group reserves the rights to remove all Client licenses and permissions of use for non-payment of services or invoices and fees.

b) Title, copyright, intellectual property rights and distribution rights of the intellectual property remain exclusively with ATM Services Group.

Contract Termination

a) Unless terminated earlier in accordance with its provisions, this contract will automatically terminate on the last day of the applicable guarantee period.

b) Any termination of this contract will not affect any claim, cause of action or liability which may have arisen before the date of termination.

Entire Agreement

a) These Terms and Conditions, together with any documents referred to or incorporated into it constitute the entire agreement between you and Us and supersede all prior communications and proposals.

Governing Law & Jurisdiction

a) These terms are governed by English law and you can bring legal proceedings in respect of the Products and Services in the English courts. 

 

Payment Terms:

All services are provided under the payment terms below. The same Payment Terms applies to new and existing clients.

Price

a) The price of the Products and/or Services is for Business Clients only, inclusive of VAT and will be the GBP price stated on your agreed pricelist or quotation. Unless explicitly stated, the cost of fitting any Products purchased is included in the price.

b) We reserve the right, before the relevant contract is formed in accordance with these terms and conditions, to change the price of our Products and Services.

c) We shall be entitled to adjust the price payable by you to reflect any changes which are made to the rate of VAT between the point of Order and the completion of the work.

Payment

a) For Products and Services ordered using Our website, payment will be taken when you place an Order.

b) For Clients, any services or products supplied and fitted, payment in full is required within 30 days of invoice date. In certain circumstances an initial payment may be required before any work or services are started. This amount/percentage will be agreed in writing and will be separately invoiced.

Late Payment Penalties

If any invoiced amount is not received by the company, by the mentioned due date, then without limiting company’s rights, the following will be applicable.

  1. Those charges may accrue late interest @ 5% of the outstanding balance per week, or the maximum rate permitted by the law, whichever is lower.
  2. We may condition future contract renewals/service renewals or suspend our services to you until such amount is paid in full.

Storage Charges

a) Storage charges will be payable to Us in relation to any abandoned ATMs or Client's Hardware that has not been collected from Us for a period of 30 days following completion of the work undertaken by Us on relating ATM or Hardware. If payment has not been settled for any services provided to the Client, then any existing ATMs or Hardware will be subject to an immediate storage charge for 30 days. If payment is still not received, then ATM Services Group reserve the right to dispose of the Clients property with immediate effect and with no cost reimbursement to the Client. 

Ownership of Products

a) All Products supplied remain Our property until paid for by you in full although this retention of ownership will not affect any claim which We may have against you for the payment of any overdue amount.

Removal of Parts

a) With the exception of warranty and service exchange parts, removed parts will be disposed by Us. Disposal will be in accordance with current environmental regulations and legislative requirements. A fee may be charged for this service.

Suspension of Work

a) If We suspend or delay the supply of any Products and/or the performance of any Services at your request or as a direct result of any breach by you of your obligations under any existing contract or agreement then in addition to the original price payable by the Client, We reserve the right to charge you a reasonable additional amount to cover any unavoidable, or irrecoverable costs and/or expenses incurred by Us as a direct result of its suspension or delay in those circumstances.
